6. FEES AND PAYMENT

6.1 Fees

You agree to pay all fees associated with the Services in accordance with the pricing and payment terms presented to you. All payments are non-refundable except as expressly set forth in these Terms or as required by applicable law.

6.2 Billing

We use third-party payment processors to bill you through a payment account linked to your account. The processing of payments will be subject to the terms, conditions, and privacy policies of our payment processors in addition to these Terms.

6.3 Subscription Terms

Subscription fees are billed in advance on a recurring basis according to the billing cycle selected at the time of purchase. You may cancel your subscription at any time, but no refunds will be issued for the current billing cycle.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Ownership

The Services and all Content, features, and functionality thereof are and will remain the exclusive property of Tabsyst and its licensors. The Services are protected by copyright, trademark, and other laws of both India and foreign countries.

7.2 Feedback

If you provide any feedback, suggestions, or recommendations regarding the Services ("Feedback"), you hereby assign to Tabsyst all rights, title, and interest in and to such Feedback.

8. USER CONTENT

You retain your rights to any content you submit, post, or display on or through the Services ("User Content"). By providing User Content, you grant Tabsyst a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise use the User Content for the purposes of operating and providing the Services.

You represent and warrant that your User Content will not violate third-party rights of any kind, including without limitation any intellectual property rights or rights of privacy or publicity.

10. WARRANTY DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. LIMITATION OF LIABILITY

IN NO EVENT WILL TABSYST, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Tabsyst, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

13. TERM AND TERMINATION

13.1 Term

These Terms will remain in full force and effect while you use the Services.

13.2 Termination by You

You may terminate your account at any time by contacting us at mail@tabsyst.com.

13.3 Termination by Us

We may terminate or suspend your account and access to the Services at any time, without prior notice or liability, for any reason, including breach of these Terms.

14. CHANGES TO TERMS

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

15. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Kozhikode, India for the resolution of any disputes arising out of or relating to these Terms or the Services.

16. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Tabsyst concerning the Services.

17. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced to the fullest extent possible under law.
